Terms of Service

These Terms of Service (“Terms”) govern your use of the services provided by Apex Agent (“we”, “us”, “our”), including our AI receptionist, custom AI agent, and business automation services (collectively, the “Services”).

By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Services Description

Apex Agent provides AI-powered business communication and automation services, including but not limited to:

  • AI receptionist services for inbound call handling, appointment booking, and lead capture
  • Custom AI agents for customer support, intake processing, and other business workflows
  • Business automation solutions connecting third-party tools and eliminating manual processes

Specific service features, inclusions, and limitations are detailed in your service agreement and chosen pricing plan.

2. Account and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during the onboarding process.

3. Payment Terms

  • All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated.
  • Monthly subscription fees are billed in advance on the first business day of each billing cycle.
  • Setup fees are due prior to commencement of service configuration.
  • Excess call charges (where applicable) are billed monthly in arrears.
  • Payment is due within 14 days of invoice date. We accept bank transfer and credit card.
  • Late payments may incur interest at 2% per month on the outstanding balance.

4. Cancellation and Refunds

  • You may cancel your subscription at any time by providing 30 days' written notice.
  • There are no lock-in contracts. Your service will continue until the end of the current billing period after notice is given.
  • Setup fees are non-refundable once service configuration has commenced.
  • We do not provide pro-rata refunds for partial months of service.
  • We reserve the right to suspend or terminate services for non-payment after 14 days overdue.

5. Your Obligations

You agree to:

  • Provide accurate and up-to-date business information for AI agent training
  • Use the Services in compliance with all applicable Australian laws and regulations
  • Not use the Services for unlawful, fraudulent, or harmful purposes
  • Inform callers that they may be interacting with an AI agent where required by law
  • Maintain appropriate insurance for your business operations

6. Intellectual Property

All intellectual property in our AI technology, software, and processes remains the property of Apex Agent. You retain ownership of your business data and content provided to us for training purposes.

We grant you a non-exclusive, non-transferable licence to use our Services for the duration of your subscription.

7. Limitation of Liability

To the maximum extent permitted by law, Apex Agent's total liability arising out of or in connection with these Terms or the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.

We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

While our AI agents are designed to be accurate and helpful, we do not guarantee that every interaction will be error-free. You acknowledge that AI technology has inherent limitations.

8. Indemnification

You agree to indemnify and hold harmless Apex Agent and its directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or breach of these Terms.

9. Privacy

Your use of our Services is also governed by our Privacy Policy, which forms part of these Terms. Please review our Privacy Policy at apexagent.com.au/privacy.

10. Modifications to Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of any material changes. Your continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland.
